1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Carbon Club ("Company," "we," "our," or "us") governing your access to and use of our website, services, and platform.

By creating an account, completing the verification process, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. ELIGIBILITY

To use The Carbon Club, you must:

• Be at least 18 years of age
• Be a natural human being (not a corporation, AI, or automated system)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the service under applicable laws
• Provide accurate and truthful information during registration

3. DESCRIPTION OF SERVICE

The Carbon Club is a digital membership platform that provides:

• Human Verification: Biometric liveness verification to confirm you are a real human
• Digital Membership: A unique "Legacy ID" with a sequential rank number
• Blockchain Record: Permanent on-chain recording of your verification
• Referral System: Ability to invite others to join The Carbon Club

The service is provided "as is" and we make no guarantees about specific features, functionality, or future development.

4. THE CARBON TAX (PAYMENT)

4.1 One-Time Fee

The "Carbon Tax" is a one-time, non-recurring fee for lifetime digital membership in The Carbon Club. The fee is calculated dynamically based on the number of existing verified members:

The price at the time of your transaction is final and non-negotiable.

4.2 No Refunds — All Sales Final

4.3 Payment Processing

All payments are processed securely through Stripe. We do not store or have access to your payment card information. By making a payment, you also agree to Stripe's Terms of Service.

5. BIOMETRIC VERIFICATION

5.1 Consent

By proceeding with verification, you explicitly consent to:

• A one-time biometric liveness scan of your face
• Capture and storage of a verification photograph
• Processing of verification data by FaceIO (third-party provider)
• Permanent recording of verification metadata on the blockchain

5.2 One Human, One Account

Each human being may only register for one (1) account. The biometric verification system is designed to prevent duplicate registrations. Attempting to create multiple accounts is a violation of these Terms.

5.3 Accuracy

You agree to provide accurate, current, and complete information during verification. Misrepresenting your identity or using another person's biometrics is strictly prohibited and may result in permanent ban and legal action.

6. USER CONDUCT

6.1 Prohibited Activities

You agree NOT to:

• Bot Masking: Use bots, automated scripts, or AI systems to simulate human verification
• Identity Fraud: Impersonate another person or use fake/synthetic identities
• Spoofing: Attempt to bypass biometric checks using photos, videos, masks, or deepfakes
• Multiple Accounts: Create more than one account per human
• System Abuse: Exploit bugs, vulnerabilities, or loopholes in the verification system
• Data Harvesting: Collect or scrape data from other users
• Harassment: Engage in harassment, abuse, or harmful behavior toward other members
• Illegal Activity: Use the service for any illegal purpose
• Reselling: Sell, transfer, or trade your account or membership

6.2 Consequences

Violation of these conduct rules may result in:

• Immediate account termination without refund
• Permanent ban from The Carbon Club
• Reporting to relevant authorities
• Legal action for damages

7. INTELLECTUAL PROPERTY

All content, trademarks, logos, and intellectual property on The Carbon Club platform are owned by us or our licensors. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

Your verification photo and username become part of your public membership record. You retain rights to your likeness but grant us a perpetual, worldwide, royalty-free license to display your verification photo and username as part of the Legacy Grid and membership records.

8. BLOCKCHAIN RECORDS

By completing verification, you understand and accept that:

• Your verification will be permanently recorded on the Base blockchain
• This record is publicly visible to anyone
• We cannot delete or modify this record after creation
• Your "right to erasure" does not apply to blockchain data

9. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free service
• Security of data transmission

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CARBON CLUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruption or computer damage
• Cost of substitute services
• Personal injury or property damage

Our total liability shall not exceed the amount you paid for the service (the Carbon Tax).

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless The Carbon Club and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

12. TERMINATION

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abusive behavior toward staff or other users
• Prolonged inactivity

Upon termination, your membership privileges cease but your blockchain record remains permanent.

13. GOVERNING LAW & DISPUTES

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Carbon Club is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

14. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the service after changes are posted constitutes acceptance of the modified Terms.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
